These Oscilar Promotions Terms and Conditions (these "Promo Terms") apply to the promotions that Oscilar, Inc. ("Oscilar") conducts from time to time, including referral programs, customer reference programs, gifts and gift card giveaways, and discounts or other incentives based on specified activities such as event participation or meeting attendance (each, a "Promotion"). These Promo Terms may be supplemented, modified, or superseded by terms communicated in connection with a specific Promotion.

In the event of any conflict, the specific Promotion's terms govern.

By participating in any Promotion, you agree to these Promo Terms as well as the Oscilar Terms of Service available at https://oscilar.com/terms-of-service and Privacy Policy available at https://oscilar.com/legal/privacy-policy. 

If you are participating on behalf of a company or organization: (i) references to "you" mean that entity; (ii) you are accepting these Promo Terms on its behalf; and (iii) you represent that you have authority to bind it to these Promo Terms.

Oscilar may modify these Promo Terms at any time without prior notice. Continued participation in any Promotion following a modification constitutes acceptance of the updated terms.

1.  General Rules

• Each Promotion is a limited-time offer subject to availability.

• By participating, you represent that you are of legal age of majority in your jurisdiction (at least 18 in most jurisdictions).

• Promotions have no cash value and cannot be redeemed for cash or cash equivalents.

• Promotions cannot be applied to prior purchases or existing subscriptions and may not be combined with other offers unless expressly stated.

• Promotions are non-transferable and may not be resold, auctioned, bartered, leased, or exchanged.

• Unless otherwise stated, each Promotion is limited to one (1) per person or entity.

• Participation is subject to qualification review by Oscilar. To qualify, you must be directly responsible for evaluating or making purchasing decisions regarding your company's use of Oscilar products.

• If you qualify, Oscilar will contact you at the email address you provide.

• Oscilar reserves the right to modify or cancel any Promotion at any time in its sole discretion, including if Oscilar suspects fraud, abuse, or bad faith. Oscilar will not be liable for any loss arising from the cancellation or withdrawal of a Promotion.

• Promotions are void where prohibited by applicable law.

• You are responsible for any taxes, duties, or fees associated with receiving any benefit under a Promotion.

• By submitting content as part of a Promotion, you grant Oscilar a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, publish, and distribute your submission for promotional, publicity, and advertising purposes.

• Promotions apply only to Oscilar products available in the country where your entity is domiciled. Oscilar reserves the right to determine availability on a country-by-country basis.

• Oscilar is not responsible for technical issues or other errors that affect the operation or outcome of any Promotion.

• Oscilar is not responsible for gifts or prizes that are lost, stolen, or damaged after confirmed delivery. Recipients are responsible for ensuring secure delivery.

• Employees, contractors, and agents of Oscilar and its affiliates, and their immediate family members, are not eligible to participate.

• Employees of government entities, government-controlled entities, or government-owned entities are not eligible to participate.

• If any provision of these Promo Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

• Unless specified otherwise, Promotions are limited to one (1) per eligible individual or entity per 365-day period.

2.  Referral Program

To qualify as a referred prospect:

• You must not be an existing Oscilar customer; and

• You must complete the qualifying action specified in the Promotion (e.g., attending a product demonstration with Oscilar).

To qualify as a referrer:

• You must refer an eligible prospect using the instructions provided in the promotional materials.

• You must be the first party to refer that prospect.

• The prospect must not be an existing Oscilar customer.

• The prospect must schedule and complete a demo within 30 days of your referral.

• You may not refer yourself or entities you administer.

The referral offer is limited to one (1) per referred prospect and one (1) per qualifying referral for referrers.

3.  Customer Reference Program

To qualify for a Customer Reference offer, you must:

• Enroll in the Customer Reference Program using the link, form, or other means provided by Oscilar; and

• Complete the required number of reference calls with prospective Oscilar customers within the timeframe specified by Oscilar.

4.  Beverage Gift Promotion

To qualify, you must:

• Be located in a country where receipt and delivery of alcoholic beverages as promotional gifts is lawful; and

• Either: (a) complete and submit the relevant form provided by an Oscilar representative; or (b) receive a beverage gift from Oscilar.

Additional terms:

• This Promotion is limited to one (1) beverage gift per eligible individual or entity.

• Eligible participants may receive one (1) beverage gift, which may be an alcoholic or non-alcoholic alternative, subject to availability and local law.

• All beverage gifts are fulfilled by licensed retailers or their authorized logistics partners ("Licensed Retailers"). Oscilar does not sell, ship, or deliver beverages directly.

• By accepting a beverage gift, you represent that: (a) you are of legal drinking age in your jurisdiction; (b) you are receiving it solely for personal consumption; and (c) you are located in a jurisdiction that permits delivery of alcoholic beverages.

• No order is accepted until confirmed for shipment by the Licensed Retailer. Oscilar is not responsible for any delay or inability to deliver due to applicable law, carrier restrictions, or recipient unavailability.

• You agree to indemnify and hold harmless Oscilar and all Licensed Retailers from any losses arising from: (a) any false representation you make; or (b) any violation of applicable law governing receipt of alcoholic beverages.

• This Promotion is void where prohibited by applicable law.

5.  Prospect Meeting Gift Promotion

Qualified prospects who complete a meeting with an Oscilar representative may be eligible to receive a gift ("Meeting Gift"). The specific gift type and value will be communicated in the promotional materials for each campaign.

Eligibility requirements:

• You must not be an existing Oscilar customer at the time of the meeting.

• You must be employed at or above the Manager level in a role with decision-making or evaluation authority over fraud prevention, financial crime compliance, risk management, or related technology purchasing.

• Your organization must meet any minimum size or industry criteria specified in the promotional materials for the applicable campaign.

• You must schedule and attend a qualifying meeting (e.g., a product demonstration or discovery call) with an Oscilar representative within the timeframe specified in the Promotion.

• The meeting must be attended in good faith for a genuine evaluation of Oscilar's products and services. Meetings Oscilar determines were not attended with genuine evaluative intent do not qualify.

Gift fulfillment:

• Oscilar will determine whether you qualify for a Meeting Gift in its sole discretion following the meeting.

• If you qualify, Oscilar will send redemption instructions to the email address you provide within ten (10) business days of the meeting.

• Meeting Gifts are subject to availability. Oscilar reserves the right to substitute any gift with an item of equal or greater value.

• Meeting Gifts are non-transferable and have no cash value.

• This Promotion is limited to one (1) Meeting Gift per individual and one (1) per organization.

• Oscilar reserves the right to withhold or revoke a Meeting Gift if the meeting was not conducted in good faith or if any eligibility representation is found to be false.

Governing Law

These Promo Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Promo Terms shall be resolved exclusively in the state or federal courts located in Santa Clara County, California.
